Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and FlowGenix Automations ("Company," "we," "our," or "us"), a company registered in the United Kingdom.

By accessing our website, engaging our services, or using our AI-powered automation solutions, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Description of Services

FlowGenix Automations provides AI-powered business automation solutions, including but not limited to:

  • Enquiry: Speed-to-lead automation for rapid enquiry response
  • Voice AI Assistants: AI-powered telephone answering and customer service
  • Workflow Automation: Business process automation and integration services
  • Custom AI Solutions: Bespoke automation tailored to specific business needs

Specific service details, pricing, and terms will be outlined in individual service agreements or proposals provided to clients.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Maintain the confidentiality of any account credentials provided
  • Use our services in compliance with all applicable laws and regulations
  • Not use our services for any unlawful, fraudulent, or harmful purposes
  • Promptly notify us of any security breaches or unauthorised access
  • Ensure you have necessary rights and permissions for any data you provide to us
  • Cooperate with reasonable requests during service implementation and support

4. Service Level and Availability

We strive to provide reliable, high-quality services. However, we do not guarantee uninterrupted or error-free service. Scheduled maintenance, technical issues, or circumstances beyond our control may occasionally affect service availability.

Specific service level agreements (SLAs), including uptime guarantees and response times, may be detailed in individual client contracts where applicable.

5. Payment Terms

Payment terms are as follows unless otherwise specified in your service agreement:

  • Fees are payable in British Pounds Sterling (GBP) unless otherwise agreed
  • Invoices are due within 14 days of issue unless otherwise specified
  • Recurring subscriptions are billed monthly or annually in advance
  • Late payments may incur interest at 8% above the Bank of England base rate
  • We reserve the right to suspend services for overdue accounts
  • All fees are exclusive of VAT, which will be added where applicable

6. Intellectual Property

6.1 Our Intellectual Property

All intellectual property rights in our services, including software, algorithms, designs, documentation, and branding, remain the exclusive property of FlowGenix Automations. Nothing in these Terms transfers ownership of our intellectual property to you.

6.2 Client Data

You retain all rights to your data. By using our services, you grant us a limited licence to process your data solely for the purpose of providing the agreed services.

6.3 Custom Developments

Ownership of custom developments created specifically for your business will be addressed in the relevant service agreement. Unless otherwise agreed, we retain ownership of underlying frameworks, tools, and methodologies.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of our engagement. This obligation survives termination of these Terms. Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.

8. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including UK GDPR. Where we process personal data on your behalf, we act as a data processor, and a Data Processing Agreement may be required. You remain responsible for ensuring you have lawful grounds to share any personal data with us.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claim arising from these Terms or our services shall not exceed the fees paid by you in the 12 months preceding the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • We shall not be liable for any loss of profits, revenue, data, business opportunities, or goodwill
  • We are not liable for any third-party services or integrations used in conjunction with our services

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless FlowGenix Automations, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, misuse of our services, or violation of any third-party rights.

11. Termination

Either party may terminate services:

  • With 30 days' written notice for convenience (unless otherwise specified in your service agreement)
  • Immediately if the other party materially breaches these Terms and fails to remedy the breach within 14 days of notice
  • Immediately if the other party becomes insolvent or enters administration

Upon termination, you remain liable for any outstanding fees, and provisions that by their nature should survive (including confidentiality, limitation of liability, and intellectual property) shall remain in effect.

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, acts of government, pandemics, war, terrorism, power outages, or internet failures.

13. Dispute Resolution

In the event of a dispute, the parties agree to attempt resolution through good-faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients with reasonable notice. Continued use of our services after changes constitutes acceptance of the modified Terms.

15. General Provisions

  • Entire Agreement: These Terms, together with any service agreements, constitute the entire agreement between the parties
  • Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect
  • Waiver: Failure to enforce any right does not constitute a waiver of that right
  • Assignment: You may not assign your rights under these Terms without our written consent
  • Governing Law: These Terms are governed by the laws of England and Wales
